I am assuming that when you said: "If the Defined Benefit section closes..." you meant stops more benefit being earned rather than winds up. (Windup would change the situation - the trustees make the decisions during windup, not the company)
If the scheme isn't wound up, and if the deeds are not changed, then there is no legislation that I know of which would change the company's unilateral power to use the C-Plan funds for M-Plan employer payments.
By the way, this power isn't merely to make use of surplus. The company can use the power even while the C-Plan is in deficit.
